1. Acceptance of terms

By accessing or using the Stiplo platform and Ghost Scan service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms from time to time. Continued use after changes constitutes acceptance of the revised Terms.

Your use of the Service is also governed by our Privacy Policy, which forms part of these Terms. By accepting these Terms, you also acknowledge and accept the Privacy Policy.

2. Definitions

  • "Stiplo", "we", "us" NorthBy Ltd, a company registered in England and Wales (company number 17112518), with its registered office at 128 City Road, London, EC1V 2NX.
  • "You", "User" any individual or organisation accessing or using the Service.
  • "Ghost Scan" our automated website integrity scanning product.
  • "Scan" a single execution of the Ghost Scan service against a website URL you provide or that we scan as described in Section 4.
  • "Report" the findings delivered to you following a Scan, including screenshots, issue descriptions, and recommendations.

3. Service description

Stiplo provides commercial integrity scanning for hotel and hospitality websites. The Service crawls publicly accessible web pages, captures screenshots, and uses artificial intelligence to detect potential integrity issues across three pillars:

  • Visibility structured data, SEO signals, AI discoverability
  • Website Credibility broken content, outdated promotions, accessibility problems
  • Promise Accuracy price mismatches, offer availability, booking path issues

We only access publicly available content. We do not access private systems, login-protected areas, booking engine databases, or customer personal data held by the scanned website.

4. Unsolicited and prospecting scans

Stiplo reserves the right to scan publicly accessible hospitality websites for demonstration, research, quality assurance, and prospecting purposes without prior authorisation from the website owner. These scans:

  • Only access publicly available content (the same content available to any visitor or search engine crawler).
  • Do not collect personal data of the scanned website's customers or staff.
  • Are limited to the hospitality industry (hotels, resorts, restaurant groups, and similar businesses).
  • May be used to generate sample reports shared with the website owner or used internally for service improvement.

Website owners may request deletion of unsolicited scan data or opt out of future scans by contacting privacy@stiplo.io. See our Privacy Policy for details on data retention and your rights.

5. Eligibility

You must be at least 18 years old to use the Service. By using Stiplo, you represent that you are 18 or older and have the legal capacity to enter into these Terms.

6. Account and access

You may access the Service via a free Ghost Scan (email and URL required) or by creating an account for paid plans. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

We use magic-link authentication (passwordless email login). You must ensure the email address associated with your account is valid and accessible.

7. User obligations

When using the Service, you agree to:

  • Only submit URLs for websites you own, operate, or have explicit authorisation to scan.
  • Provide a valid email address to receive scan results.
  • Not use the Service for any unlawful or malicious purpose.
  • Not attempt to reverse-engineer, scrape, or interfere with the Service.
  • Not submit URLs at a volume or frequency designed to overload the Service.
  • Comply with all applicable laws when acting on scan findings.

8. Free tier and paid plans

Free Ghost Scan: A complimentary one-time scan that reveals a limited number of findings. No payment or account creation is required.

Paid plans: Subscriptions are available on a monthly rolling basis or at a discounted annual rate. Plan details, pricing, and included features are displayed on our pricing page.

Billing and auto-renewal: Paid subscriptions are billed in advance and renew automatically. Monthly plans renew each month; annual plans renew each year. For annual plans, we will send a renewal reminder email at least 14 days before the renewal date.

Cancellation: You may cancel at any time via your account settings or by emailing hello@stiplo.io. Cancellation takes effect at the end of the current billing period. You retain access until the end of the period you have already paid for.

No refunds: All fees are non-refundable. If you cancel a subscription, you retain access until the end of the current billing period but no refund will be issued for the remaining time.

9. AI-generated results and accuracy

Scan results are generated using artificial intelligence and automated analysis. While we strive for accuracy, you acknowledge that:

  • AI-detected issues may contain false positives (flagging something that is not a real problem) or false negatives (missing a genuine issue).
  • Results represent a point-in-time snapshot of your website and are not real-time monitoring.
  • Findings are advisory in nature and should be reviewed by a qualified person before acting on them.
  • We apply human review as a quality control measure but do not guarantee that every finding has been manually verified.

10. Third-party services

The Service relies on third-party providers for AI analysis, cloud infrastructure, browser automation, and other functions. While we select providers with appropriate security and data protection standards, we are not responsible for the availability or performance of these third-party services. A full list of our sub-processors and the data shared with each is available in our Privacy Policy.

11. Intellectual property

All rights in the Stiplo platform, Ghost Scan product, brand assets, and underlying technology remain with Stiplo. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service.

You retain ownership of the website content we scan. By using the Service, you grant us a limited licence to crawl, screenshot, store, and analyse your publicly accessible web pages for the purpose of delivering the Service.

12. Confidentiality of reports

Your scan reports are confidential to you. We will not share your individual scan results with third parties without your consent, except as required by law. We may use aggregated, anonymised data (which cannot identify you or your website) to improve the Service and for industry benchmarking.

13. Limitation of liability

To the maximum extent permitted by law:

  • The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, or that all issues on your website will be detected.
  • Stiplo shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, bookings, or business opportunities.
  • Our total aggregate liability for any claim arising from or related to the Service shall not exceed the fees you paid to Stiplo in the 12 months preceding the claim, or £100 if you are on the free tier.
  • You are solely responsible for any business decisions made based on scan results.

14. Indemnification

You agree to indemnify and hold harmless Stiplo and its officers, employees, and agents from any claims, losses, or damages (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your scanning of a website you are not authorised to scan.

15. Suspension and termination

We may suspend or terminate your access to the Service at any time if you violate these Terms, misuse the Service, or if continued provision is not commercially viable.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. We may retain your data for the period set out in our Privacy Policy unless you request earlier deletion.

16. Changes to the service

We may modify, update, or discontinue features of the Service at any time. We will make reasonable efforts to notify you of material changes that affect your use of the Service, but we are not obligated to maintain any specific feature.

17. Force majeure

Neither party shall be liable for failure or delay in performing obligations under these Terms due to circumstances beyond reasonable control, including but not limited to: third-party service outages (AI providers, cloud infrastructure, browser automation services), internet disruptions, natural disasters, government actions, or pandemics.

18. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Stiplo may assign its rights and obligations in connection with a merger, acquisition, or sale of substantially all of its assets, with reasonable notice to affected users.

19. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales.

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute in good faith through informal negotiation. The party raising the dispute shall send written notice by email describing the issue and proposed resolution. The parties shall have 30 days from receipt of this notice to reach a resolution.

If informal resolution is unsuccessful, any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

20. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

21. Entire agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any other policies referenced herein, constitute the entire agreement between you and Stiplo and supersede all prior agreements, representations, and understandings.
